Welcome to the iTalents websites, which are operated by iTalents Inc. and its subsidiaries. . By using the Site , you agree to be bound by these Terms of Use (“Terms”) and any additional terms and conditions posted by iTalents. The Privacy Policy explains how iTalents may collect and use information about users and viewers of the Sites.

Please carefully review these Terms and Policy before using or accessing the Sites. Your use of the Sites or the information displayed on them acknowledges that you have read and understood these Terms and Policy, and that you accept and consent to be bound by them. If you do not accept these Terms and Policy, you must not use or access the Sites.

iTalents reserves the right to modify these Terms and Policy at any time, and such changes will become effective once they are posted on the Sites. Any disputes arising before the posting of the revised Terms and Policy will not be subject to the changes.

The “Last Updated” date above indicates when these Terms were last changed. iTalents may modify or discontinue all or part of the Sites without liability, or offer opportunities to some or all Site users. Your continued use of the Sites following any changes means that you accept the revised Terms.

It is important to note that iTalents is not a law firm and does not provide legal representation. Additionally, iTalents project attorneys do not constitute a law firm among themselves.

Eligibility

By accessing or using the Site, you affirm that you are of legal age to enter into these Terms. If you are accessing or using the Site on behalf of an Organization, you are also agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the legal authority to bind such Organization to these Terms. The term “you” in these Terms refers to both the individual using the Site and the associated Organization.

The Site is intended for use by residents of the Gulf Region, Middle East, United States, Europe, and Canada. It is controlled and operated from Tunisia and is subject to Tunisian laws and jurisdiction. Your use of the Sites is at your own risk, and you must comply with all applicable laws, rules, and regulations in doing so. We reserve the right to limit access to the Site at any time and to any person or geographic area we choose. It is important to note that the Terms constitute a legally binding contract between you and iTalents.

Licence

Subject to your compliance with these Terms, iTalents grants you a limited, non-exclusive, revocable license to access and use the Sites, and to download materials that we make available for download on the Site, for your personal or commercial use.

The Site, its content, information, and materials are the exclusive property of iTalents and are protected by Tunisian and international law. You agree to only access and use the Site and its content in accordance with these Terms.

The Marks displayed on the Sites, including trademarks, service marks, and logos, are the exclusive property of iTalents or their respective third-party owners/ Partners. You are not granted any rights to the Marks except for the limited right to view them on our Site. Nothing

in these Terms grants, by implication, estoppel, or otherwise, any license or right to use any Marks displayed on the Sites. Any unauthorized use of the Marks may violate Tunisian and international laws.

User submitted material

The Site may provide features that allow you to upload information related to your Organization, including contact details such as your name, email address, and phone number, or engage in interactive features such as blogs and message boards. All such materials are considered “Submitted Materials,” and you retain ownership of them. If you choose to submit Submitted Materials, you grant iTalents a non-exclusive, perpetual, transferable, and fully sublicensable (through multiple tiers) license to use, modify, reproduce, distribute, publicly display, create derivative works from, and otherwise exploit such Submitted Materials, in any format or media, for any purpose, including promotional activities like testimonials.When you use the interactive features of the Site, such as blogs and message boards, and submit any materials through them, you confirm that you have the necessary rights to grant the license as described in these Terms. You also certify that the Submitted Materials are accurate, complete, and do not violate any applicable laws or third-party rights, including intellectual property rights. 

iTalents understands the importance of protecting your personal and sensitive information. All information collected through the Site is subject to our Privacy Policy and is processed and protected according to the applicable legal framework. You are solely responsible for any personal or sensitive information you choose to upload or provide through the Site’s interactive features, such as blogs and message boards. By submitting such information, you agree to our Privacy Policy and grant iTalents the license described in these Terms for the use and exploitation of such information.

Rules of conduct
  • Do not expose through the Site’s contact form, email or phone correspondence any Submitted Materials that may be perceived as  an infringement on the rights and dignity of others (harassment, hate speech, or intimidating behavior)  defamatory (as in fraudulent declarations); obscene (such as indecent and objectionable information) ; or protected by a third party’s intellectual property rights, including but not limited to copyright, trademark, trade secret, right of publicity or privacy, or any other proprietary right, without the express prior written consent of the applicable owner.
  • You must not insert, transmit, or provide access to any harmful or malicious software through the Site’s interactive options, email or phone correspondance, that is designed or intended to (a) cause damage to any hardware, software, or equipment, including Third-Party Materials without proper authorization; (b) provide unauthorized access to, or prevent authorized access to confidential information or personal data; or (c) prevent detection of any unauthorized access to any hardware, software, or equipment.
  • It is prohibited to disrupt or interfere with the functioning of the Site, or the servers and networks used to enable its operation. This includes, but is not limited to, hacking or defacing any part of the Sites, as well as violating any server or network policies or procedures.
  • Unless expressly authorized in these Terms, you are prohibited from engaging in any of the following activities with respect to any part of or use of the Sites: reproducing, copying, modifying, adapting, translating, creating derivative works of, selling, licensing, timesharing, distributing, or otherwise exploiting.
  • You are not allowed to take apart, analyze, or convert any part of the Site’s software code into a human-readable form,under no circumstances. Engaging in reverse engineering, decompiling, and disassembling for any purpose is totally prohibited and we reserve the right to pursue civil and criminal action against you and to notify law enforcement for any violations of these Terms.
  • Do not display any part of the Site on your own website by framing or mirroring it, or include any part of the Site in any of your own products or services, unless you obtain a written consent from us.
  •  iTalents allows public search engines to use spiders to copy materials from the Sites for the sole purpose of creating publicly available, searchable indices of such materials, subject to compliance with any instructions posted in the robots.txt file located in the Site’s root directory. This permission may be revoked by iTalents at any time and without notice. Caching or archiving of such materials is not permitted. For individuals and companies, do not use robots, spiders, or other automated tools to access or extract content from the iTalents website without obtaining prior written consent. This includes any attempt to bypass the website’s structure or layout.
Third party materials

The iTalents website may offer access to or links to materials, services, content, or information provided by third parties. iTalents does not have control over Third-Party Materials and is not responsible for them. The availability of, or links to, any Third-Party Materials on the iTalents website do not necessarily indicate that iTalents supports or is affiliated with the provider of the Third-Party Materials. Your decision to use Third-Party Materials is at your own risk.

Disclaimer

iTalents explicitly disclaims all warranties and conditions, whether express or implied, with respect to the Site, to the fullest extent permissible by law. This includes warranties and conditions of merchantability, fitness for a particular purpose, non-infringement, and title. iTalents is not responsible for any inaccuracies, errors, or unauthorized alterations made to the Site by third parties.

Although iTalents tries to maintain the timeliness, integrity, and security of the Sites, it cannot guarantee that they will be updated, complete, correct, or secure at all times. Access to the Sites may be interrupted, and the use of the internet and electronic communications may result in limitations, delays, and other issues. iTalents is not liable for any delays, failures, damage, loss, or liability resulting from such issues. Security measures used by iTalents and its subcontractors and service providers may not protect the Sites against unauthorized access, use, or disclosure, and iTalents is not responsible for any such unauthorized activity.

These Terms represent a legal agreement between you and iTalents, but they do not establish a partnership, joint venture, B2B, agency, or franchisor-franchisee relationship between you and iTalents. While we value your use of our website, any business interests beyond that will require additional legal work. If you are interested in pursuing such business interests, we would be happy to collaborate with you. 

These Terms, along with any additional terms and conditions, constitute the complete agreement between you and iTalents and replace any previous oral agreements or understandings related to the same subject matter. We will notify you of any changes or notices related to these Terms by posting them on the Site or sending them to your email. You can rely on a printed version of these Terms and any notices given in electronic form that will be admissible in judicial or administrative proceedings just like other printed business documents and records. We will not be responsible for any failure to fulfill our obligations that result from causes beyond our control.
